1. Acceptance of Terms

Welcome to SEO Reporty ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile application, and SaaS platform (collectively, the "Service") that provides SEO Audit Reports, In-Dashboard access, and Automated Audit features.

By accessing, registering for, and using SEO Reporty, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

2. Definitions

"User" or "You"

Any individual or entity that accesses or uses the Service.

"Account"

Your registered user account with SEO Reporty, created upon signup and maintained with your unique credentials.

"Content"

All text, images, data, reports, analyses, and materials provided by SEO Reporty through the Service.

"User Data"

Data, information, and materials you provide, upload, or input into the Service, including website URLs, domains, and audit parameters.

3. Account Registration and Access

3.1 Registration Requirements

To use SEO Reporty, you must create an account by providing accurate, complete, and current information. You agree to:

  • Provide true, accurate, and complete information during registration

  • Maintain and promptly update your information

  • Be responsible for all activities that occur under your account

  • Protect your password and not share it with others

3.2 Age Requirement

You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement.

3.3 Account Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account. SEO Reporty is not liable for any damages resulting from unauthorized account access.

4. Service Description and Permitted Use

4.1 Service Overview

SEO Reporty provides a SaaS platform that:

  • Generates comprehensive SEO audit reports for websites and domains

  • Provides access to a user dashboard to view audit results and analytics

  • Offers automated audit scheduling and reporting features

  • Delivers actionable insights and recommendations for SEO improvement

4.2 Permitted Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You may not:

  • Violate any applicable laws, regulations, or third-party rights

  • Use the Service for any unauthorized or illegal purpose

  • Harass, abuse, or harm other users or third parties

  • Engage in spamming, phishing, or fraudulent activities

  • Attempt to gain unauthorized access to the Service or its systems

  • Reverse engineer, decompile, or disassemble the Service

  • Scrape, crawl, or extract data from the Service without authorization

  • Use automated tools to access the Service, except as explicitly permitted

  • Resell, redistribute, or repackage the Service without written consent

5. Intellectual Property Rights

5.1 Company Ownership

All content, materials, software, code, design, structure, layout, and functionality of the Service, including but not limited to audit algorithms, reports, templates, and methodologies, are owned by or licensed to SEO Reporty and are protected by copyright, trademark, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business use, in accordance with these Terms. This license does not permit you to:

  • Modify or create derivative works of the Service

  • Reproduce or distribute the Service or its content

  • Remove or alter any proprietary notices or labels

5.3 User Content

You retain all intellectual property rights to any User Data you provide to the Service. However, you grant SEO Reporty a non-exclusive, worldwide, royalty-free license to use, process, analyze, and store your User Data for purposes of:

  • Providing and improving the Service

  • Generating audit reports and recommendations

  • Conducting analytics and research (in anonymized or aggregated form)

  • Complying with legal obligations

6. Subscription Plans and Pricing

6.1 Subscription Plans

SEO Reporty offers various subscription plans with different features, usage limits, and pricing. The current plans and pricing are displayed on our website. By selecting a plan, you agree to the terms associated with that plan.

6.2 Billing and Payment

You agree to pay the subscription fees according to your selected plan. Payment is processed at the beginning of each billing cycle (monthly, annual, or as otherwise specified). You authorize SEO Reporty to charge your payment method automatically for renewal unless you cancel before the renewal date.

6.3 Pricing Changes

SEO Reporty reserves the right to change subscription fees with at least 30 days' notice. Continued use of the Service following price changes constitutes acceptance of the new pricing. If you do not accept the new pricing, you may cancel your subscription.

6.4 Refund Policy

SEO Reporty provides a 14-day money-back guarantee for new subscriptions. If you are not satisfied with the Service, contact us within 14 days of your initial purchase for a full refund. After 14 days, subscription fees are non-refundable except as required by law. Refund requests for additional paid services or premium features must be submitted within 30 days of purchase.

7. Cancellation and Termination

7.1 Cancellation by User

You may cancel your subscription at any time by accessing your account settings or contacting our support team. Cancellation will take effect at the end of your current billing cycle. You will not be charged for the next billing cycle, but no refunds will be issued for the current paid period.

7.2 Termination by Company

SEO Reporty may suspend or terminate your account and access to the Service if you:

  • Violate these Terms or any applicable laws

  • Engage in fraudulent, deceptive, or abusive conduct

  • Fail to pay subscription fees

  • Threaten or harm other users or the Service

We will attempt to notify you of termination unless circumstances prevent such notice. Upon termination, your right to access the Service ceases immediately.

8. User Data and Content

8.1 Ownership and Control

You retain full ownership and control of your User Data. SEO Reporty will not claim ownership of your data or sell it to third parties. However, you grant us the right to process, analyze, and use your data to provide the Service.

8.2 Data Backup and Recovery

While SEO Reporty maintains backup systems, we do not guarantee the recovery of lost or deleted data. You are responsible for maintaining your own backups of important information. In the event of data loss due to events beyond our control, our liability is limited to the extent permitted by law.

8.3 Data Retention After Cancellation

Upon account cancellation, we will retain your data for up to 90 days to allow account recovery. After this period, data will be permanently deleted unless otherwise required by law. You are responsible for downloading and backing up your reports and data before cancellation.

9. Third-Party Services and Integrations

The Service may integrate with or depend on third-party services, APIs, and tools. SEO Reporty is not responsible for:

  • The availability, accuracy, or reliability of third-party services

  • Changes or discontinuation of third-party services

  • Privacy practices or data handling by third parties

  • Issues arising from third-party service failures

Your use of third-party services is subject to their terms of service. We recommend reviewing their privacy policies and terms before authorizing integrations.

10. Limitation of Liability

10.1 Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SEO REPORTY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Accuracy of Information

While we strive for accuracy, SEO Reporty does not guarantee that audit reports, recommendations, or data will be 100% accurate or complete. SEO algorithms, website structures, and search engine behavior change frequently. Reports are based on the information available at the time of audit and may not reflect real-time changes.

10.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEO REPORTY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.4 Maximum Liability

IN NO EVENT SHALL SEO REPORTY'S TOTAL LIABILITY FOR ANY CLAIM EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless SEO Reporty and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from or related to:

  • Your use of the Service or violation of these Terms

  • Your User Data or content

  • Your violation of applicable laws or third-party rights

  • Any actions or inactions related to your account

12. Service Availability and Uptime

12.1 Best Effort Service

While SEO Reporty strives to maintain high service availability, we do not guarantee uninterrupted or error-free operation. The Service may be subject to:

  • Scheduled maintenance and updates

  • Unexpected downtime or technical issues

  • Third-party infrastructure failures

  • Security incidents or necessary security patches

12.2 Maintenance

We will attempt to provide notice of scheduled maintenance. Emergency maintenance may be performed without prior notice when necessary to protect the security or integrity of the Service.

13. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Unauthorized access or data extraction attempts

  • Creating multiple accounts to circumvent usage limits

  • Sharing login credentials or account access

  • Using the Service for competitive analysis or resale

  • Interfering with or disrupting Service functionality

  • Uploading malware, viruses, or malicious code

  • Automated scraping or bulk downloading of reports

  • Using bots or automated tools without written permission

14. Dispute Resolution and Governing Law

14.2 Governing Law

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements between you and SEO Reporty, constitute the entire and exclusive agreement between you and SEO Reporty regarding the Service. These Terms supersede all prior negotiations, discussions, and agreements.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, shall be severed. The remaining provisions shall remain in full force and effect.

18. Waiver

The failure of SEO Reporty to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it at a later time.

19. Export Compliance

The Service and underlying technology may be subject to U.S. export control laws, including the Export Administration Regulations (EAR). You agree not to export or re-export the Service or technology, directly or indirectly, to prohibited countries or entities.
